Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Ruligent, a sole-proprietorship service operated from New York, United States ("Ruligent", "we", "us"). By creating an account or using the service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("you", "Customer"). If you do not agree, do not use the service.

1. The service

Ruligent is a governance layer for AI agents. It provides a guard endpoint that evaluates agent tool calls against customer-configured policies, human approval workflows, audit logs, spend limits, kill switches, signed webhooks, and SDKs. The service evaluates only the calls your systems route through it.

3. Accounts and eligibility

You must provide accurate registration information and keep your credentials confidential. API keys and session tokens issued to your organization are your responsibility; actions taken with your credentials are attributed to you. The service is offered to businesses and is not directed at children.

5. Acceptable use

Your use of Ruligent and of agents guarded by it must comply with our Acceptable Use Policy, which is incorporated into these Terms. In particular, do not send regulated data (such as PHI or cardholder data) in guard payloads unless we have agreed to it in writing.

6. Your data

You retain all rights to your data. You grant us the limited rights needed to operate the service: to process agent tool-call metadata and bounded payload summaries, store audit events for your plan's retention period, and deliver webhooks to the URLs you configure. Our handling of personal data is described in the Privacy Policy; customers requiring processor terms may execute our Data Processing Addendum.

7. Intellectual property

We retain all rights in the service and our software, except for open-source components made available under their own licenses (the Ruligent governed platform is available for private deployment). You may not copy, resell, or reverse engineer the hosted service except as permitted by law or an applicable open-source license.

8. Warranty disclaimer

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will block any particular agent action.

9. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) our total aggregate liability arising out of or relating to the service is limited to the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim (or USD $100 if you are on the Free plan). You are solely responsible for the actions of your agents, including actions Ruligent allowed, failed to block, or never saw.

10. Indemnity

You will indemnify and hold us harmless from third-party claims arising out of your agents' actions, your data, or your breach of these Terms or the Acceptable Use Policy.

11. Suspension and termination

We may suspend or terminate access for material breach of these Terms (including the Acceptable Use Policy), for non-payment, or where required by law; where practical we will notify you and give you an opportunity to cure. You may terminate at any time by cancelling your subscription and deleting your account. Upon termination, audit data is purged per your plan's retention schedule and account data is deleted on request to www.ruligent.com/contact.

12. Changes to these Terms

We may update these Terms from time to time. For material changes we will give at least 14 days' notice by email or in-product notice. Continued use after the effective date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-laws rules. The state and federal courts located in New York have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory consumer or local-law protections that apply to you.
